1. Acceptance of Terms

By accessing or using ReelRecall ("Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms apply to all users of the Service, including visitors, registered users, and paying subscribers.

You represent that:

You are at least 13 years of age.
If under 18, you have parental or guardian consent to use the Service.
You have the legal authority to enter into this agreement on behalf of yourself or any organization you represent.
Your use of the Service complies with all applicable laws and regulations.

If you do not agree to these Terms, you must immediately discontinue use of the Service.

2. Service Description

ReelRecall provides an AI-powered video organization and transcription service. The Service allows you to:

Save and organize videos from TikTok, Instagram, YouTube, and other platforms.
Automatically transcribe video content using AI (powered by AssemblyAI).
Search your video library by spoken content, keywords, and metadata.
Create collections, add tags, and organize saved videos.
Access your video library across devices (web, mobile).

2.1 Service Availability

We strive to provide reliable, uninterrupted service. However, we do not guarantee:

24/7 Availability: The Service may experience downtime for maintenance, updates, or unforeseen issues.
Error-Free Operation: Software may contain bugs or errors.
Permanent Access: Videos sourced from third-party platforms may become unavailable if deleted by creators.

2.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

3. User Accounts

3.1 Account Registration

To access certain features, you must create an account. You agree to:

Provide Accurate Information: All registration information must be truthful, current, and complete.
Maintain Security: Keep your password secure and confidential. You are responsible for all activity under your account.
Notify Us of Unauthorized Access: Immediately report any security breach or unauthorized use of your account.

3.2 Account Termination

We reserve the right to suspend or terminate your account at any time for:

Violation of these Terms.
Fraudulent or illegal activity.
Abuse of the Service or other users.
Non-payment of fees (for paid subscribers).

3.3 Account Deletion and Data Retention

You may delete your account at any time from your account settings. Upon deletion:

Your personal information and video data will be deleted within 30 days.
Some data may be retained for legal, tax, or security purposes (see our Privacy Policy).

4. Acceptable Use Policy

You agree to use the Service responsibly and lawfully. The following activities are strictly prohibited:

4.1 Illegal Activities

Copyright Infringement: Uploading or downloading copyrighted content without permission.
Illegal Content: Storing, sharing, or distributing content that violates laws (e.g., child exploitation material, illegal drugs, terrorism).
Fraud or Phishing: Using the Service to deceive, defraud, or phish other users.

4.2 Abuse and Harassment

Harassing, threatening, or abusing other users.
Impersonating another person or entity.
Distributing spam, malware, or viruses.

4.3 Service Interference

Unauthorized Access: Attempting to access accounts, data, or systems without authorization.
Reverse Engineering: Decompiling, disassembling, or reverse-engineering the Service.
Denial of Service (DoS) Attacks: Overloading or disrupting the Service with excessive requests.
Bot Usage: Using automated scripts, bots, or crawlers to access the Service without permission.

4.4 Intellectual Property Violations

Removing or altering copyright notices, watermarks, or attribution.
Using our trademarks, logos, or branding without written permission.

Consequences of Violation: Violation of this Acceptable Use Policy may result in immediate account suspension or termination, reporting to law enforcement, and legal action.

5. Intellectual Property Rights

5.1 Our Intellectual Property

All content, features, and functionality of the Service (including software, text, graphics, logos, and trademarks) are owned by ReelRecall or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not:

Copy, modify, distribute, or create derivative works from our content.
Use our trademarks or branding without written permission.
Sell, license, or commercialize the Service.

5.2 Your Content

You retain ownership of any content you upload or create using the Service ("User Content"), including video URLs, transcriptions, tags, and notes.

By using the Service, you grant us a limited license to:

Process Your Content: Store, transcribe, and display your video URLs and metadata.
Provide the Service: Use AI to analyze and transcribe videos you save.
Improve the Service: Use anonymized, aggregated data to enhance features and performance (we do not use identifiable User Content for marketing without consent).

5.3 Third-Party Content

Videos sourced from TikTok, Instagram, YouTube, and other platforms are owned by their respective creators. ReelRecall does not claim ownership of third-party content. You are responsible for ensuring you have the right to save and use videos from third-party platforms.

6. Payment Terms

6.1 Subscription Plans

ReelRecall offers both free and paid subscription plans. Paid plans include:

Pro Plan: $9/month (or annual pricing if available).
Features vary by plan tier (see pricing page for details).

6.2 Billing and Renewals

Recurring Billing: Paid subscriptions automatically renew at the end of each billing period unless canceled.
Payment Method: You authorize us to charge your payment method (via Stripe) on file for all applicable fees.
Price Changes: We may change subscription prices with 30 days' notice. Continued use after the price change constitutes acceptance.

6.3 Cancellations and Refunds

Cancellation: You may cancel your subscription at any time from your account settings. Your access will continue until the end of the current billing period.
No Refunds: We do not offer refunds for partial months or unused portions of a subscription, except as required by law.
Free Trial: If offered, free trials will automatically convert to paid subscriptions unless canceled before the trial ends.

6.4 Failed Payments and Account Suspension

If your payment fails, we will attempt to retry payment. After multiple failed attempts, your account may be downgraded to a free plan or suspended.

7. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to:

The collection and use of your data as described in the Privacy Policy.
Processing of video content by third-party AI services (AssemblyAI) for transcription.
Storage of your data on secure servers (Supabase, Vercel).

8. Disclaimers and Limitations of Liability

8.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We disclaim all warranties, including but not limited to:

Warranties of merchantability and fitness for a particular purpose.
Non-infringement of third-party rights.
Uninterrupted, error-free, or secure operation.
Accuracy or completeness of transcriptions or search results.

8.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, REELRECALL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Loss of data, revenue, profits, or business opportunities.
Service interruptions or downtime.
Inaccurate transcriptions or search results.
Third-party actions (e.g., videos deleted by creators).

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

8.3 Third-Party Links

The Service may contain links to third-party websites or services. We do not endorse or assume responsibility for third-party content. Your use of third-party services is at your own risk.

8.4 Third-Party Service Integrations

The Service integrates with third-party services to provide enhanced functionality. By using these integrations, you agree to be bound by the respective third-party terms of service:

Google APIs: Our Service uses Google Sign-In for authentication and optionally Google Docs API for exporting content. Your use of Google features is subject to Google's Terms of Service and Privacy Policy. When you export content to Google Docs, documents are created in your Google Drive account and are subject to Google's terms.
Payment Processing: Payments are processed by Stripe, subject to Stripe's Terms of Service.

We are not liable for any issues arising from your use of third-party services, including but not limited to service outages, data loss, or changes to third-party terms.

9. Indemnification

You agree to indemnify, defend, and hold harmless ReelRecall, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of the Service.
Your violation of these Terms.
Your violation of any third-party rights (e.g., copyright infringement).
User Content you submit or create.

10. Termination

10.1 Termination by You

You may terminate your account at any time by deleting it from your account settings or contacting support at support@reelrecall.ai.

10.2 Termination by Us

We may suspend or terminate your account at any time, with or without notice, for:

Violation of these Terms.
Fraudulent, illegal, or abusive behavior.
Non-payment of fees.
Extended inactivity (free accounts).

10.3 Effects of Termination

Upon termination:

Your access to the Service will be revoked immediately.
Your data will be deleted within 30 days (unless retained for legal purposes).
No refunds will be issued for unused portions of paid subscriptions.

11. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. Material changes will be notified via email or prominent notice on the Service.

Your continued use of the Service after changes constitutes acceptance of the updated Terms.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of [Your State/Country], without regard to conflict of law principles.

For Non-US Users: If you are located outside the United States, local laws may apply. You agree to comply with all applicable local laws regarding online conduct and acceptable content.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a legal claim, you agree to attempt to resolve disputes informally by contacting us at legal@reelrecall.ai. We will attempt to resolve disputes within 30 days.

13.2 Binding Arbitration

If informal resolution fails, you agree to resolve disputes through binding arbitration, rather than in court. Arbitration will be conducted by a neutral arbitrator in accordance with the rules of [Arbitration Organization, e.g., American Arbitration Association].

13.3 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS.

13.4 Exceptions

Either party may seek injunctive relief or protect intellectual property rights in court without arbitration.

14. Miscellaneous Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ReelRecall regarding the Service.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet outages.
